
TERMS OF USE & SERVICE AGREEMENT

1. Introduction and Scope
This Agreement governs the terms under which clients, service users, business partners, and licensed professionals (collectively referred to as “Users”) access and utilize services offered by BHC Staffing Solution Corp (“BHC,” “Company,” “we,” “us,” or “our”).
BHC provides a staffing and scheduling platform that connects clients with independently licensed barbers, hairstylists, and cosmetologists who perform services at client locations or approved business premises within the State of New York.
2. Eligibility Requirements
To use BHC services, Users must:

Be at least 18 years old, or have parental/guardian consent for minors
-
Be legally capable of entering binding contracts
-
Not be restricted under applicable state or federal law from receiving services
BHC reserves the right to deny service to any individual at its sole discretion, including but not limited to safety, legal, or behavioral concerns.
3. Nature of the Relationship
BHC acts solely as a facilitator and scheduling platform.
All service providers are:

Independent contractors
-
Not employees, agents, or partners of BHC
BHC does not control:
-
Service methods
-
Technique or styling outcomes
-
Contractor decision-making during service delivery
4. Independent Contractor Agreement
All professionals using the BHC platform agree that they are independent contractors and:

Maintain valid New York State licensing
-
Carry required liability insurance
-
Control their own tools, schedule, pricing, and methods
-
Are not entitled to employee benefits including:
-
Workers’ compensation
-
Unemployment insurance
-
Health benefits
-
Paid leave
-
Contractors agree to comply with platform rules, safety standards, and applicable laws.
5. Booking, Payment & Preauthorization Policy
5.1 Payment Requirement
All appointments require full payment or approved deposit at the time of booking.

No appointment is confirmed without payment
-
Unpaid bookings are not guaranteed and may be canceled automatically
5.2 Contractor Acceptance & Booking Confirmation
All bookings submitted through the BHC platform are considered pending requests and are not confirmed until accepted by a licensed independent contractor or authorized BHC representative.
BHC does not guarantee service availability until:

A qualified contractor reviews the request, and
-
The contractor formally accepts and confirms the appointment
BHC reserves the right to assign or reassign contractors based on availability, location, and service requirements.
5.3 Payment Authorization, Holding & Release
At the time of booking:
-
The client’s payment method is authorized and placed on hold
Payment is:
-
Not fully captured or finalized until contractor acceptance and appointment confirmation
Once the contractor confirms the appointment:
-
The payment is then captured, processed, and released accordingly
If no contractor accepts the booking within a reasonable timeframe:
-
The authorization is released and no charge is completed
5.4 Booking Status Disclaimer
Clients acknowledge that:
-
Submitting a booking request does not guarantee service
-
Appointments are only confirmed after contractor acceptance
-
BHC is not liable for delays due to contractor availability or scheduling constraints
6. Cancellation, Rescheduling & No-Show Policy
-
A minimum of 24 hours’ notice is required for cancellations
-
Late cancellations result in full charge forfeiture
-
No-shows are charged 100% of service fee
-
Rescheduling is subject to availability and may incur fees
If a contractor cancels and no replacement is available:
-
Client may choose a full refund or reschedule at no cost
BHC is not responsible for delays or cancellations caused by events outside its control, including emergencies, weather, or transportation issues.
7. Refund Policy (ALL SALES FINAL)
All payments are final and non-refundable once service is booked and confirmed.
Refunds are only issued at BHC’s sole discretion in cases of:

Verified non-performance of service
-
Fraudulent booking activity
-
Contractor failure to appear without replacement
Dissatisfaction with style, preference, or outcome does not qualify for a refund.
All refund or credit requests must be submitted within 12 hours of service completion.
8. Client Responsibilities and Conduct
Clients agree to:

Provide a safe, clean, and accessible environment
-
Ensure proper lighting, space, and seating for service delivery
-
Disclose allergies, medical conditions, or sensitivities
-
Treat all contractors with respect and professionalism
BHC reserves the right to refuse or terminate service immediately for:

Unsafe conditions
-
Harassment or abuse
-
Non-payment or fraudulent behavior
9. Contractor Conduct and Safety Standards
Contractors agree to:

Follow all New York State laws and hygiene regulations
-
Maintain proper sanitation and disinfection practices
-
Use PPE when required
-
Refuse unsafe or inappropriate service environments
Contractors may pause or cancel services if safety is compromised.
10. Media Release & Marketing Consent
By booking any service with BHC, the client automatically grants full, irrevocable consent for BHC to use any:

Photos
-
Videos
-
Audio recordings
-
Before/after content
-
Service documentation
for purposes including:
-
Marketing
-
Advertising
-
Social media promotion
-
Website content
-
Press and media distribution
10.1 Removal of Consent
Consent may only be revoked through a written request via:

Text message
-
Email
Removal applies only to future use and does not affect previously published materials.
11. Chargebacks & Payment Disputes
Unauthorized chargebacks are considered a material breach of this Agreement.
In such cases, BHC reserves the right to:

Provide full service evidence
-
Pursue legal recovery of funds
-
Permanently restrict platform access
-
Recover collection and legal fees where permitted by law
12. Limitation of Liability
To the maximum extent permitted by law:

BHC is not liable for injury, allergic reactions, property damage, or personal outcomes

All services are performed by independent contractors
-
Clients assume all risks associated with receiving grooming services
BHC’s total liability shall not exceed the amount paid for the service.
13. Data Privacy and Confidentiality
BHC collects personal information necessary for:

Booking services

Customer support
-
Operational coordination
All data is handled in compliance with the New York SHIELD Act and applicable privacy laws.
BHC does not sell personal data. Data may only be shared when required by law or for service execution.
14. Intellectual Property
All branding, logos, systems, content, and materials are the exclusive property of BHC Staffing Solution Corp.
Users are granted a limited, non-transferable license to use the platform strictly for booking services.
Unauthorized use, copying, or reproduction is prohibited.
15. Termination of Access
BHC may suspend or permanently terminate access to any User who:

Violates these Terms

Engages in abusive, fraudulent, or illegal conduct

Poses risk to contractors, staff, or business operations
Termination may occur without prior notice.
16. Changes to Terms
BHC reserves the right to modify these Terms at any time.
Continued use of services constitutes acceptance of updated Terms.
17. Governing Law and Jurisdiction
This Agreement is governed by the laws of the State of New York.
All disputes shall be resolved in:

Nassau County
-
Suffolk County
based on service location or BHC’s discretion.
18. Entire Agreement
This document represents the full agreement between Users and BHC Staffing Solution Corp and overrides any prior written or verbal agreements.
19. Acknowledgment and Consent
By booking or using BHC services, Users confirm that they:

Have read and understood this Agreement

Agree to be legally bound by all terms

Accept the independent contractor structure, payment rules, and media consent policy
